Power Projects
  • Faisalabad Area Electricity Board (Privatisation). Due diligence report along with corporate and labour paper re: Projects viability, including obtaining of necessary approvals from various government departments for Ashurst Morris Crisp, a UK based law firm;
  • Japan Power Project. Reviewed all project documentation and assisted in drafting of documents including drafting of suppliers credit and equipment maintenance agreements;
  • Hubco. Share holding, fuel supply agreements. Drafting of labour related documents.
Telecom & Information Technology
  • Represented CASTECH (Pvt.) Ltd., against Space Telecom and Pakistan Telecom Authority (PTA), in the matter of Cellular License rift between the parties. Advised and drafted technical support agreement for Space Telecom and CASTECH. Space telecom initially won, on the basis of technical support agreement, one of the two cellular licenses in Pakistan, auctioned recently. Also provided legal support to CASTECH for presenting documents before PTA for pre-bid qualification;
  • Counsel to Virtual Resources Solutions, a subsidiary of Euro International UK in setting up first Government approved, fully equipped and operational IT Park in private sector including drafting all requisite agreements and documentation with Pakistan Telecommunication Authority and PTCL, for setting up state of the art Call Centre;
  • Counsel to Virtual Resources Solutions, Negotiating deal and drafting documents for extending facility to PTCL from call center of Virtual Solutions, including drafting of all required documents towards finalization of the deal;
  • Drafted extensive shareholders agreement for Mobilink;
  • Counsel to Karam Pir Associates, a subsidiary of a swiss company for advising on Additional International incoming Voice Traffic from USA and Europe to Pakistan through Voice over Internet Protocol (VOIP);
  • Counsel to STC, Inc USA for advising on Additional International incoming Voice Traffic from USA and Europe to Pakistan through Voice over Internet Protocol (VOIP);
  • Local counsel for the Voice Control Limited, UK in connection with regulatory and other legal issues in the telecommunication sector in Pakistan;
  • Drafted agreements for clients (Progressive Television Network UK) re:Launching Islamic TV channel and its Up-linking;
Real Estate
  • Bahria Town (i) Drafted and advised on various documents re: franchise, joint venture agreement and acquisition of land for development of the town. (ii) Contested all legal matters with Pakistan Navy for its smooth operation by its share holder Hussain construction (Pvt) Ltd, which is now the owner of this town. Bahria Town is now the largest private housing society in Asia;
  • Siddiq Trade Center all contracts related to its acquisition of land, construction and sale;
  • Islamabad New City (represented AM East Corporation of USA ) Drafted and filed writ petitions and suits for recovery of US $ 300 million of AM East USA;
  • Emirate Worldwide Investments. Legal advisor to look after property & construction interests.
Banking & Others
  • UBL vs. Nawaz Khokhar. (represented UBL), drafted and contested recovery suit in the amount of Rs. 820 million the same was decreed by the court. Also drafted sale agreement of the Nawaz Khokhar Mills including advising and drafting of bridge finance and letter of credits in the amount of Rs. 287 million for the buyers of the Mill, Reliance Group;
  • United Bank Limited vs. Redco. (represented UBL);
  • Patoki Sugar Mills. Advised and drafted various banking documents for sale and transfer of the Mills, including drafting of all contractual documents and conducting all negotiations for finalisation of transaction;
  • International Finance Corporation vs. Hala Spinning Mills. (represented IFC) Drafted winding-up petition and filed, for recovery of Rs. 1 billion;
  • Bahria Paints. Drafted transfer of share Agreements by and between Pakistan Navy and Hussain Construction;
  • Bahria Lubricants. Drafted transfer of share Agreements by and between Pakistan Navy and Bahria Lubricants;
  • Bankers Equity vs. Hamid Textiles. (represented Hamid Textile) contested and won the case before the High Court for Restructuring the Loan;
  • Hamid Textile’s restructuring of loan, in the amount of Rs. 970 million, with;
    • FMO [Netherland];
    • PILCORP; and
    • Bankers Equity . ( represented Hamid Textile).Drafted various banking documents including share sale and buy back agreements, agreements for restructuring/ rescheduling of debt in the amount of 1.2 billion including agreement for exchange risk coverage by Emirates Bank for $ 7 million suppliers credit to HTML by FMO Netherlands;
  • Drafted- Punjab Transport Authority Ordinance, 1999 for SMEDA;
  • Counsel to Small and Medium Enterprise Authority, Government of Pakistan drafted principal share holders agreement and drafted process for award of permit to bus companies to ply buses in urban areas, also developed National Transport strategy;
  • Counsel to Air weapon complex: drafted and vetted agreements pertaining to purchase of multiple components and weapons;
  • Counsel to Pakistan Railways drafted and vetted privatization related agreements entailing total privatization as well as joint ventures on the profit sharing basis. In addition to the aforesaid, drafted and vetted commercial agreements that were entered into by Pakistan Railways to generate revenue. Have the experience of drafting legal notices for the revocation of licenses;
  • Counsel to Iftikhar Shafi re: advised him for his representation before Securities Exchange Commission of Pakistan and rift with Lahore Stock Exchange;
  • Counsel to SMEDA: suggested and drafted Road transportation strategy;
  • . Counsel to Bahria lubricants (Pvt.) ltd.: Drafted Technology License and Technical Assistance Agreement by and between Total Lubricants International S.A. and Bahria Lubricants;
  • Counsel to consortium of Banks comprising ABL, UBL, MCB, HBL and NBL on Tripartite Agreement for settlement of liabilities of Harappa Textile Mills and Buyers;
  • Counsel to Government of Sri Lanka through its Board of investment and Mohammed Ahmed Bahamil Trading Establishment of Saudi Arabia for creating 100,000 jobs in Sri Lanka through Chinese suppliers’ credit. Drafted all legal documents including supplier’s credit agreements, guarantees and counter guarantees by Saudi company and performance guarantees and security documents by Sri-lankan government;
  • Counsel to Emery worldwide Canada. Incorporated the company in Pakistan for logistics and advised it on repatriation of funds from Pakistan keeping in view the tax regime available in Pakistan;
  • Counsel to Heritage international Hotel in Bur Dubai. Prepared its construction agreements, suppliers agreements, trade license;
  • . Counsel to Small and Medium Enterprise Authority (SMEDA), Government of Pakistan for corporatization of agriculture and diary farming including drafting and negotiating all documents in connection therewith;
  • Counsel to proposed medical university and hospital, by the name of Punjab University Hospital, to be constructed at muridke ;
  • Counsel in various contracts involving international cross-border finance, project finance, export credit finance, supplier credit facility, buyer credit facility, and joint venture arrangements;
  • Counsel to Master Tiles & Ceramics Industries Limited for extension and arranging finance of the ceramic tile factory to make it Asia’s largest tiles producing unit, including drafting and negotiating all documents in connection therewith.
  • Counsel to National Bank of Pakistan for extending Finance Facility, in the amount of Rs. 370 Million, to CWE a Chinese state Company for Mangla Dam Raising Project.
  • Counsel to National Bank of Pakistan for extending Finance Facility, in the amount of Rs. 200 Million, to Wah medical College and Army Welfare Trust.
  • Counsel to MAN Ferrostaal Industrieanlagen Gmbh for Qadispur Compression Gas Project, valuing US $ 820 Million.
  • Counsel in negotiating transfer of shares of Halliburton USA to LMKR Holding Mauritius amounting to US $ 17 Million.
  • Counsel for negotiating transfer of shares and arranging finance by Burraq Telecom.
  • Counsel for litigation before the Karachi High Court of Pakistan in matter of passing off and trade mark infringement of Proctor & Gamble, USA of its international brand “PAMPERS”.
